   1. Parties and Acceptance
This Quantum Universe™ Master Member Agreement (the “Agreement”) is a legally binding contract between (i) The Quantum Universe / Quantum Healing Systems and its affiliated entities, administrators, and program operators (collectively, “Quantum Universe,” “we,” “us,” or “our”), and (ii) the individual enrolling as a member (“Member,” “you,” or “your”).

YOU ACCEPT THIS AGREEMENT BY: (A) CLICKING “I AGREE,” CHECKING A BOX, OR ELECTRONICALLY SIGNING; (B) CREATING OR USING A MEMBER ACCOUNT; (C) ACCESSING ANY MEMBER-ONLY CONTENT OR SERVICES; OR (D) PARTICIPATING IN ANY PROGRAM, SESSION, EVENT, OR USING ANY TECHNOLOGY MADE AVAILABLE BY QUANTUM UNIVERSE.

2. Definitions
For purposes of this Agreement:
  • “Membership” means your private member relationship with Quantum Universe and your access to Member resources.
  • “Member Site” means the online portal(s), pages, apps, or integrations (including Ontraport) used to provide Member access.
  • “Programs” means educational and experiential wellness programs, sessions, events, and related content offered to Members.
  • “Technology” means non-medical, wellness-oriented experiential tools, audio/visual content, frequency-based content, or other experiential modalities provided to Members.
  • “Touch Programs” means Touch AM, Touch PM, Touch Anytime, and any future Touch-based offerings, governed additionally by the Touch Addendum.
  • “Policies” means our posted privacy, site, and operational policies, as updated from time to time, incorporated by reference.
  • “Contribution/Fee” means membership fees, access fees, or voluntary contributions described at enrollment or purchase.​​​​​​​​​​​​​​​​​​​​​

3. Nature of Membership (Private Membership)
Quantum Universe is a private, member-based educational and experiential wellness organization. Membership provides access to educational materials, experiential wellness content, and member-only opportunities. Membership is offered for personal education and wellness experience and is not a public medical service.

Nothing in this Agreement creates a physician-patient relationship, therapist-client relationship, fiduciary relationship, or any professional services relationship.

4. No Medical Care, No Diagnosis, No Treatment, No Claims
Quantum Universe does not provide medical care, diagnosis, treatment, mitigation, prevention, or cure of any disease or condition. Quantum Universe does not provide emergency services. You agree to seek professional medical advice for health concerns.

You acknowledge and agree:
  • Quantum Universe offerings are educational and experiential wellness-oriented offerings and are not a substitute for medical advice.
  • No statements by Quantum Universe, its representatives, Members, or materials are medical advice.
  • You are responsible for your own healthcare decisions and for consulting licensed healthcare professionals.
  • If you have symptoms, worsening conditions, or emergencies, you will contact qualified medical providers or emergency services immediately.

5. Educational / Exploratory / Developmental Nature
Certain Programs or Technology may be exploratory, experimental, developmental, or under ongoing refinement. Individual experiences vary widely; no outcomes are guaranteed. Testimonials, anecdotes, and individual statements are not promises or guarantees.

​​​​​​​6. Eligibility; Capacity; Minor Policy
You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter this Agreement. If you are accepting on behalf of another person, you represent you have authority to do so. Minors may only participate where explicitly permitted and only with documented parental/guardian consent.

7. Member Responsibilities and Use Standards
You agree to:
  • Use all Programs and Technology responsibly and in accordance with instructions.
  • Stop participation if you experience discomfort, distress, or concerns and seek appropriate support.
  • Not misuse offerings, not attempt to reverse engineer or republish paid content, and not share account access.
  • Not represent yourself as speaking for Quantum Universe or providing medical or therapeutic services.
  • ​​​​​​​Comply with all applicable laws, including privacy and intellectual property laws.​​​​​​​​​​​​​​

8. Assumption of Risk
You knowingly and voluntarily assume all risks associated with your participation in Membership, Programs, events, and use of Technology, whether known or unknown, including risks arising from your personal interpretation of educational content and your individual physical or emotional response.

 9. Release, Hold Harmless, and Indemnification
To the fullest extent permitted by law, you release, hold harmless, and agree to indemnify and defend Quantum Universe and its owners, officers, directors, employees, contractors, advisors, volunteers, affiliates, licensors, and partners (the “Released Parties”) from and against any claims, demands, causes of action, damages, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to your Membership, participation, or use of Programs or Technology, except to the extent caused by the Released Parties’ intentional misconduct.

10. Fees, Contributions, Billing, and Refund Policy
Membership fees, access fees, and/or voluntary contributions may be required for certain Programs or Technology. The amount, cadence, and payment terms are disclosed at checkout or enrollment.

Unless explicitly stated otherwise in writing for a specific offering, all payments are non-refundable, subject only to applicable consumer protection laws. If a refund or credit is offered for a specific offering, the terms will be stated in writing for that offering and will control.

11. Member Communications; Support
You consent to receive communications electronically (email, SMS, portal messages) regarding your Membership, account, and Program updates. Support is provided on a reasonable-efforts basis and may be limited by operational constraints, time zones, or third-party platforms.

12. Privacy; Data; Platform Logs; Consent
Our Privacy and Site Policies are incorporated by reference and may be updated from time to time. By joining, you consent to the collection and processing of account data, technical logs (including IP address, timestamps, device identifiers), and interaction data necessary to operate the Member Site, provide services, maintain security, and keep audit records of your acceptance and participation.

​​​​​​​13. Intellectual Property; Limited License
All content, materials, Technology, Program designs, trademarks, logos, audio/visual files, and documentation are owned by or licensed to Quantum Universe and are protected by intellectual property laws.

Subject to your compliance, Quantum Universe grants you a limited, personal, non-transferable, non-sublicensable, revocable license to access and use Member materials for your personal educational use. You may not copy, record, redistribute, publish, publicly perform, sell, or create derivative works without prior written permission.

 14. Confidentiality (Member-Side)
You agree not to publicly disclose non-public Member materials, Technology details, pricing, internal workflows, or private group content, except as permitted by Quantum Universe in writing. This section does not prevent you from reporting unlawful conduct to appropriate authorities or from communicating with your own advisors, provided confidentiality is maintained.

​​​​​​​15. Community Standards; Prohibited Conduct
You may not:
  • Harass, threaten, doxx, or intimidate Members, staff, or representatives.
  • Post medical claims as if endorsed by Quantum Universe.
  • Publish or share Member-only content outside authorized channels.
  • Attempt to access restricted systems or bypass security controls.
  • Use the Member Site for unlawful purposes or to solicit prohibited transactions.

16. Suspension; Termination
Quantum Universe may suspend or terminate Membership (with or without notice) for violation of this Agreement, Policies, or community standards, or where required for safety, legal, or operational reasons. Termination ends access to Member resources; payment obligations already incurred remain due.

​​​​​​​17. Disclaimers of Warranties
THE MEMBER SITE, PROGRAMS, AND TECHNOLOGY ARE PROVIDED “AS IS” AND “AS AVAILABLE.” QUANTUM UNIVERSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUM UNIVERSE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO MEMBERSHIP, PROGRAMS, OR TECHNOLOGY, EVEN IF ADVISED OF THE POSSIBILITY.

IN ANY EVENT, QUANTUM UNIVERSE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO QUANTUM UNIVERSE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

19. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to this Agreement, Membership, Programs, or Technology shall be resolved by binding arbitration on an individual basis, not in court, except you may bring claims in small claims court if they qualify.

You and Quantum Universe waive any right to a jury trial and waive any right to participate in a class action, class arbitration, or representative proceeding.

20. Governing Law; Venue for Ancillary Relief
This Agreement is governed by the laws of the State designated in the Policies for Member agreements (or, if not designated, a state selected by Quantum Universe consistent with applicable law), without regard to conflict-of-law principles. For any court proceedings permitted (e.g., injunctive relief to protect intellectual property), venue shall be in a court of competent jurisdiction selected by Quantum Universe, unless prohibited by law.

​​​​​​​21. Changes to this Agreement
We may update this Agreement from time to time. If changes are material, we will provide reasonable notice via the Member Site or email. Continued use after the effective date of changes constitutes acceptance.

22. Electronic Records; Signature; Audit Trail
You agree that electronic acceptance is the legal equivalent of your handwritten signature. You agree that records captured by our systems or platforms (including timestamps, IP address, agreement version, and acceptance logs) are admissible to prove acceptance.

23. Severability; Entire Agreement; Assignment
If any provision is held unenforceable, the remaining provisions remain in effect. This Agreement, together with the Policies and any addenda you accept, constitutes the entire agreement between you and Quantum Universe regarding Membership. You may not assign your rights or obligations without our written consent. We may assign this Agreement to an affiliate or successor.

Notices may be provided electronically via the Member Site or email. Member support contact information is provided within the Member Site and may be updated.​​​​​​​

25. Acknowledgment
By accepting, you acknowledge you have read, understood, and agree to be bound by this Agreement.
